Ethics & Compliance at JAR GROUP

At JAR GROUP, “JAR — Justify Ability & Rarity” is not only a philosophy; it is also our ethics and compliance standard. We commit to lawful, responsible and transparent operations in shipping, logistics, marine, trading, customs clearance and consumer brands across Bangladesh and worldwide.

This page explains how we protect integrity, manage risk and build long-term trust with shipowners, charterers, importers, exporters, buyers, crew members and consumers.

Our commitment: We will only accept business, partnerships and cargoes that comply with applicable laws, international regulations and our own internal standards. No shipment, no deal and no profit is more important than our integrity.

1. Ethics & Compliance Framework

JAR GROUP’s ethics and compliance approach is built on three pillars: Justify (integrity & responsibility), Ability (competence & reliability) and Rarity (rare trust & consistent excellence). These principles are applied to all companies under the group, including:

All directors, employees, representatives and agents of JAR GROUP are expected to act honestly, fairly and professionally — on board vessels, in ports, offices, warehouses and in all dealings with customers and authorities.

We integrate legal and regulatory requirements into our processes from the start: documentation, customs, port agency instructions, crew contracts, sourcing and distribution all follow pre-defined compliance checklists.

Each business line has defined responsibilities for ethics and compliance, while oversight and alignment are coordinated from the JAR GROUP corporate head office in Chattogram.

2. Anti-Bribery & Anti-Corruption

JAR GROUP operates a zero-tolerance policy towards bribery, facilitation payments and corrupt practices in any form. This applies to all dealings with public officials, port and customs representatives, suppliers, customers and any other third parties.

  • We do not offer, give, request or accept bribes, kick-backs or improper advantages.
  • We avoid facilitation payments, even where they may be “customary”, and look for lawful alternatives.
  • Gifts, hospitality and entertainment must be modest, transparent and never linked to securing business decisions.
  • All payments must be properly supported by documentation and recorded in the company’s books.

3. Sanctions & Trade Compliance

As a shipping and trading-linked group, JAR carefully monitors international sanctions, embargoes and trade restrictions. We do not carry, finance or otherwise support cargoes or activities that would breach applicable regulations.

  • Customers, vessels, counterparties and routes may be screened against relevant sanctions lists.
  • Cargo descriptions, documents and declarations are reviewed to minimise the risk of mis-declaration or illegal trade.
  • Where necessary, shipments may be refused, suspended or cancelled for compliance reasons.
  • We cooperate with competent authorities and port officials, providing accurate and timely information.

4. Anti-Money Laundering (AML) & Financial Integrity

JAR GROUP takes reasonable steps to reduce the risk of its services being used for money laundering, terrorist financing or other financial crime.

  • We seek to know our customers and, where relevant, beneficial owners and authorised representatives.
  • We are cautious about complex payment structures or cash-based transactions that do not match the underlying cargo or service.
  • Invoices, receipts and statements are kept accurate, consistent and auditable.
  • Suspicious behaviour or inconsistencies may be escalated to senior management or relevant authorities.

5. Crew Welfare, Safety & MLC Compliance

Through JAR WORLD MARINE, the group is committed to MLC 2006 & ISO 9001:2015-aligned practices in crew recruitment, ship management and marine services.

  • We support fair recruitment practices and transparent employment terms for seafarers.
  • Crew must be treated with respect, without harassment, forced labour or discrimination.
  • Health, safety and welfare standards on board are treated as non-negotiable requirements.
  • We encourage crew members to raise concerns about safety, welfare or unethical behaviour.

6. Product Integrity & Consumer Protection

For consumer brands such as JAR TEA, NISSUL and JAR SHOPS, ethics also means honest quality and safe products.

  • We aim to source authentic, safe and compliant products from trusted suppliers.
  • Labels, descriptions and marketing communications should be truthful and not misleading.
  • Customer feedback and complaints are taken seriously and used to improve our services.

7. Data Protection, Confidentiality & Use of Information

JAR respects the confidentiality of business information, contracts, personal data and commercially sensitive material shared by clients, crew and partners.

  • We only use information for legitimate business purposes and as permitted by law.
  • Access to sensitive information is limited to those who need it to perform their role.
  • We try to store data securely and handle digital communication responsibly.

8. Environment & Social Responsibility

Ethics and compliance for JAR also include a responsibility toward the environment, communities and future generations.

  • We work with shipowners, operators and logistics partners who strive to respect maritime and environmental regulations.
  • We encourage efficient routing, safe cargo handling and reduction of unnecessary waste.
  • Through initiatives such as JAR FOUNDATION, we support community and social development projects where possible.

9. Reporting Concerns & Whistleblowing

JAR GROUP encourages employees, crew members, partners and other stakeholders to raise concerns if they see or suspect unethical, illegal or unsafe behaviour. We prefer to hear and fix a problem early rather than ignore it.

  • Concerns may be raised to line managers, department heads or senior management.
  • Serious matters can be escalated directly to the corporate office in Chattogram.
  • Reports can include issues related to bribery, sanctions, safety, harassment, fraud or other misconduct.
  • Retaliation against good-faith reporting is not acceptable.
