Carrier’s Terms & Conditions

Agreement Terms for Carriers · Shipping Agents · Partners · Sub-contractors of JAR GROUP

1. Definitions

In these Terms & Conditions (the “Agreement”):

  • “JAR GROUP” / “Company” means JARINFO.COM and its affiliated entities under JAR GROUP.
  • “Carrier” / “Agent” / “Contractor” means any person or company engaged by JAR GROUP to provide shipping, forwarding, logistics, marine, crew-manning or transport services.
  • “Goods / Cargo” mean any freight, containers, cargo units, items, documents transported under a contract.
  • “Voyage / Shipment” refers to single or multiple legs of transport under JAR GROUP instructions.
  • “Party / Parties” shall refer to JAR GROUP and Carrier collectively.

2. Scope of Agreement

This Agreement governs all contracts, letters of instruction, bills of lading, freight orders, voyage orders, sub-contracts, or any transport or logistic tasks undertaken by the Carrier on behalf of JAR GROUP or its clients.

3. Carrier Obligations

  • Carrier must hold all valid licenses, permits, insurance and compliance certificates required by national and international maritime and shipping regulation (IMO, MLC 2006, SOLAS, ISPS, etc.).
  • Carrier shall perform services in a timely, safe, lawful, and professional manner, maintaining high standards of safety, security, and ethical conduct.
  • Carrier must ensure correct handling, storage, documentation, and care for all Goods / Cargo.
  • Carrier shall provide accurate and complete documentation — bills of lading, freight invoices, customs declarations, etc. — when required.
  • Carrier must notify JAR GROUP immediately on any incident, damage, delay, loss, or claim related to cargo or services.

4. Payment Terms & Freight Rates

All payment terms, freight rates, surcharges, demurrage, detention, and other charges shall be agreed in writing prior to commencement of services. Carrier must issue invoice with supporting documents. Payment to Carrier is subject to verification and acceptance by JAR GROUP.

5. Liability & Indemnity

  • Carrier is liable for loss, damage, theft or delay of Goods / Cargo due to Carrier’s negligence or misconduct.
  • Carrier indemnifies JAR GROUP, its clients, partners, and affiliates against all claims, liabilities, damages, fines, or penalties arising from Carrier’s breach, negligence, non-compliance or wrongful acts.
  • Carrier’s liability shall not be limited if loss or damage is caused by wilful misconduct, gross negligence, fraud or breach of statutory duty.

6. Compliance & Documentation

Carrier agrees to provide valid certificates of insurance, compliance, license, crew-manning credentials, safety/security compliance (SOLAS / MLC 2006 / ISPS) on demand. Carrier must also comply with anti-money laundering (AML), anti-fraud, customs and export/import regulations, sanctions, embargo laws relating to cargo and trade.

7. Data Protection & Confidentiality

Carrier may process personal or sensitive data (crew details, ship documentation, shipping manifests, client information) as part of services. Both Parties agree to comply with applicable data protection regulations (GDPR, PDPA, MLC guidelines). Carrier shall keep all confidential information secure, and use only for intended purpose. Unauthorized sharing or misuse will constitute a breach.

8. Termination & Suspension

JAR GROUP reserves the right to suspend or terminate any contract with Carrier if Carrier fails to comply with any obligation under this Agreement, or in case of misconduct, fraud, safety/security breach, non-performance, or insolvency.

9. Governing Law & Jurisdiction

This Agreement shall be governed by the laws of Bangladesh and/or the relevant international maritime law. Any dispute shall be resolved under the jurisdiction of competent courts or arbitration as per contract clause.

10. Amendments

JAR GROUP reserves the right to amend these Terms & Conditions from time to time. Updated versions will be published on JARINFO.COM. Continued cooperation by Carrier after update constitutes acceptance.
